Terms of Service & End User License Agreement

Welcome to Draw To Estimate (the "Platform" or "Software"). This Terms of Service Agreement ("Agreement") is a legally binding contract between Draw To Estimate Sh.p.k. ("Company", "we", "us", or "our") and the individual or business entity registering for or using our Platform ("User", "you", or "your").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you are strictly prohibited from using the Software.

1 Description of Services & License Grant

The Platform is a cloud-based software-as-a-service (SaaS) solution providing industry-specific tools for granite and stone countertop digital drawings ("draw-to-estimate"), general project cost estimation, inventory tracking, purchase order management, project scheduling, and third-party accounting integration (including, but not limited to, QuickBooks).

Subject to your payment of all applicable subscription fees, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business operations.

2 Absolute Disclaimer of Liability

Critical Notice

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

To the maximum extent permitted by applicable law, the Company, its directors, employees, partners, and software developers shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to:

  • Data Security & Cyber Attacks: Any loss, corruption, alteration, deletion, interception, or unauthorized access of your data, financial records, client information, or project files resulting from hacking, malware, ransomware, cyber-attacks, data breaches, or unexpected security vulnerabilities.
  • Financial & Third-Party Integration Failures: Any financial discrepancies, tax errors, auditing failures, or broken data pipelines caused by the Platform's integration with third-party software, including QuickBooks, banking institutions, or merchant payment processors.
  • Inventory, Scheduling, & Purchasing Errors: Any financial losses arising from incorrect inventory counts, automated slab matching issues, duplicate purchase orders, missed or delayed installation schedules, or fabrications managed through the Platform.
  • Force Majeure & Downtime: Any failure or delay in performance due to circumstances beyond our reasonable control, including cloud server host outages, internet service provider failures, network disruptions, or infrastructure downtime.

3 Absolute Limitation of Liability & Zero Compensation

Liability Cap

You explicitly agree that the Company's total, aggregate liability for any and all claims, disputes, or causes of action arising out of this Agreement or your use of the software—whether in contract, tort, negligence, or otherwise—is strictly limited to $0.00 (Zero Dollars).

Under no circumstances will the Company compensate, reimburse, pay out, or indemnify you for any lost revenue, lost profits, lost business opportunities, material replacement costs, labor costs, or damages to your business reputation.

4 User Drawings, Estimates, and Professional Responsibility

Verification of Outputs: The Platform utilizes automated tools to convert digital drawings into square footage, material takeoffs, and financial estimates. All outputs, dimensions, layouts, and calculations are strictly for informational and directional use.

Final Sign-Off: The User bears 100% of the responsibility to independently verify all dimensions, slab yields, seam placements, edge profiles, inventory availability, and pricing before submitting a final commercial bid to a customer, ordering materials, or fabricating stone (including granite, marble, engineered quartz, or Dekton). The Company is not responsible for wasted materials, incorrect cuts, or under-quoted jobs.

5 Data Hosting, Credentials, and Backups

While the Company employs standard industry security practices to maintain the availability of the Platform, we do not guarantee that the software is unhackable.

User Backup Obligation: You are solely responsible for maintaining independent, off-platform backups of your critical financial data, customer data, active drawings, and business records.

Credential Security: You are entirely responsible for maintaining the confidentiality of your login credentials. Any activity occurring under your account is your sole legal and operational responsibility.

6 Intellectual Property & Prohibited Actions

All right, title, and interest in and to the Platform (including the proprietary "draw-to-estimate" workflows, user interfaces, calculations, source code, visual design, and scheduling algorithms) belong exclusively to the Company.

You agree that you will not, and will not permit others to:

  • Decompile, reverse engineer, disassemble, decrypt, or attempt to extract the source code or proprietary logic of the software.
  • Use the Platform, its features, or its layout to build a competitive stone fabrication or estimating software product.
  • Share your login credentials or access privileges with unauthorized users outside your specific business subscription level.

7 Governing Law and Dispute Resolution

This Agreement, and any dispute, controversy, or claim arising out of or relating to your use of the Platform, shall be governed by and construed in accordance with the laws of Kosovo, without regard to its conflict of law principles.

You explicitly agree that any formal legal action, suit, or proceeding arising under this Agreement must be brought exclusively in the competent courts of Kosovo. You hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection based on an inconvenient forum.

8 Changes to Terms

The Company reserves the right to modify these terms at any time. When updates are made, we will change the "Last Updated" date at the top of this document. Continued use of the Platform after changes are published constitutes your explicit acceptance of the revised terms.
